Terms of Service
Last updated: 15 September 2026 · The Adhyog service is in beta, so we keep these terms up to date as it changes (section 16).
These terms are an agreement between Adhyog Software Private Limited (“Adhyog”, “we”, “us”) and you. They apply when you create an account, sign in to, or use Adhyog, Adhyog Care or Adhyog School — on the web, in our mobile apps or in our desktop app (together, “the service”).
If you use the service for a business, clinic, school or other organisation, “you” also means that organisation, and you confirm that you are authorised to accept these terms on its behalf. Our Privacy Policy explains how we handle personal data and forms part of these terms. If you do not agree to them, do not use the service.
If you only order from, or book with, a business through its Adhyog page, your order or booking is with that business and under its terms, and Adhyog is not a party to it; sections 4, 11, 12, 15 and 17 of these terms still apply to your use of the page.
1. Who provides the service
The service is provided by Adhyog Software Private Limited, a company incorporated in India (CIN U62011UW2026PTC257152) with its registered office at E 1601, TowerE Spring, Meadows GH-07A, TechZone 4, I.A. Surajpur, Noida, Gautam Buddha Nagar - 201306, Uttar Pradesh, India. The company now provides the service earlier offered under the Adhyog name, and these terms replace all earlier versions.
2. The service
Adhyog is software for businesses: billing, inventory, orders and customer records for shops, restaurants and service businesses; clinic and hospital management (Adhyog Care); and school management (Adhyog School). What is available depends on the product and plan you use. We may review a registration before an account goes live, and may decline one — Adhyog Care and Adhyog School registrations are reviewed before a clinic or school can use them.
The Adhyog service is in beta: we are still building and refining it, so features may change, and some may not yet work as you expect. We may add, change or remove features at any time. Features marked beta, preview or early access are offered as they are, and may change or be withdrawn at any time without the notice described in section 9.
3. Plans, trials and fees
- Adhyog offers a free plan and paid plans. What each plan includes and its limits are shown on our pricing page or in the app, and its price there or in the quote we give you. Fees for Adhyog Care and Adhyog School are agreed with each clinic or school.
- Fees for a paid plan are payable in advance for the period you choose. Taxes such as GST are added where they apply.
- We invoice using the business details on your account. If you want to claim input tax credit, make sure your legal name, GSTIN and state are correct before you pay. We are not responsible for credit you cannot claim because those details were missing or wrong, and we can correct an issued invoice only where, and within the time, GST law allows.
- If the law requires you to deduct tax at source (TDS) from our fees, deduct only what it requires, deposit it on time, and send us the TDS certificate within the time the law allows. If we do not receive the certificate within that time, or the credit does not appear in our tax records, the amount deducted counts as unpaid and is overdue from the date the certificate was due.
- Fees you have paid are not refundable, except where the law requires a refund or we agree to one in writing. If we close your account for a reason other than your breach of these terms or non-payment, or stop offering the service or the product your paid plan covers, we will refund the unused part of any fees you paid in advance — and that refund is all we owe you as a result.
- A trial of a paid plan ends on the date shown. When a trial or a paid plan ends and is not renewed, your account moves to the free plan: the paid features stop and your data stays.
- If a payment is overdue, we may pause paid features until it is paid, and the overdue amount carries interest at 1.5% a month (or the highest rate the law allows, if that is lower) from the due date until it is paid.
- We will tell you in advance before a price rise, or a charge for something that is free for you today, applies to your plan.
4. Your account and acceptable use
- You must be 18 or older to hold an account. Give accurate details when you sign up and keep them up to date.
- Keep your password and devices secure. You are responsible for everything done through your account, including by the staff you invite and the permissions you give them. Remove access for people who leave, and tell us promptly at info@adhyog.com if you believe your account has been used without permission.
You agree not to:
- use the service for anything unlawful, fraudulent or harmful — including issuing false or misleading invoices, bills or tax documents;
- send messages through the service that are unsolicited, deceptive, or sent without the consent the law or the messaging channel requires;
- upload anything you have no right to upload, or anything containing malware;
- try to access another customer’s data, probe or bypass our security, or disrupt the service;
- upload, store or send anything obscene, defamatory, harmful to children, invasive of someone’s privacy, impersonating someone, patently false or misleading, or threatening India’s unity, security or public order — or anything else that rule 3(1)(b) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 prohibits;
- run automated load, scraping or bots against the service without our written permission; or
- copy, reverse-engineer or resell the service, or use it to build a competing product, except where the law expressly allows it.
5. Your data and the people in it
- Your data stays yours. What you enter or upload belongs to you (or to the people it is about). You allow us to host, copy, process and display it as needed to provide, secure and support the service, as the Privacy Policy describes, and to create the anonymised statistics described below.
- You are responsible for the people you record. When you keep other people’s personal data in Adhyog — customers, patients, students, parents, staff — you are responsible for it under all applicable laws, and for complying with every law that applies to how you collect, use and share it. Where data protection law gives the roles names, you are the “data fiduciary” and we are your “data processor”. You are responsible for having a lawful basis to collect the data, for giving any notice and obtaining any consent the law requires (including verifiable parental consent for children), for keeping it accurate, and for answering those people’s requests. We may help you respond where we reasonably can.
- You are responsible for what you enter and for keeping required records. Keep the records the law requires you to keep — tax, medical, school or others — for as long as it requires, and export them before you close your account. Once deleted, they cannot be recovered.
- You can export your main records from the app — for example as CSV, Excel or PDF, depending on your plan. For anything the app doesn’t export, ask us and we will help where practical. To delete your account, see Data Deletion.
- We may turn data into anonymised, aggregated statistics — for example error rates, load, or totals across many businesses — that cannot identify you, any business or anyone in its records, and use them to operate and improve the service and to publish insights and benchmarks.
6. Data storage and backups
Please read this section before you rely on Adhyog for records you cannot afford to lose. By using the service you accept the risks it describes.
- One server, one region. The service runs on a single server in Oracle Cloud’s Hyderabad region, with no standby server. If that server or the region fails, the service is unavailable until it is recovered.
- Backups. The database is backed up automatically several times a day. Each backup is kept for 14 days, and a point-in-time recovery archive keeps 30 days.
- Recent entries can be lost. If the database is lost, entries made after the last backup that reached storage may not be recoverable. We aim to keep that window to a few hours at most, but we cannot guarantee it.
- Recovery takes time. Restoring is a manual job done by people. It may take several hours, or longer in a worst case.
- Restores are tested, not guaranteed. We test restoring from our backups from time to time, but a restore can still fail in ways a test did not catch.
- Keep your own copies. Regularly export any records you cannot afford to lose, using the exports in the app (for example CSV, Excel or PDF). An independent copy is the only way to be sure you have a record outside Adhyog.
- Adhyog Desktop keeps records on your own computer. Backing up that computer is your responsibility, except for what its connected editions sync to your Adhyog account.
7. Messaging, payments and other connected services
- Some features work with services we do not control — WhatsApp (Meta), SMS providers, UPI apps, printers, and web addresses you set up to receive data. Those services are governed by their own terms and policies. We are not responsible for their availability, charges, decisions or handling of data.
- If you connect your WhatsApp Business account, you must follow Meta’s WhatsApp Business terms and policies. You are responsible for the messages you choose to send, for having your customers’ consent to receive them, and for any charges Meta bills you. Meta may limit or suspend your number or reject message templates; we cannot override those decisions.
- UPI and other payments you collect go directly between you and your customer. Adhyog does not hold or process your money.
- If you sell, or take orders or bookings, through an Adhyog page, you are the seller or service provider. You are responsible for your goods and services, prices, taxes, refunds and delivery, and for your duties to your customers under consumer protection law, including the Consumer Protection (E-Commerce) Rules, 2020. Adhyog provides only the technology.
8. Professional judgement stays with you
- Tax. Adhyog helps you prepare GST invoices and reports from what you enter. It does not give tax or legal advice, and it does not file returns, or register e-invoices or e-way bills, with the government for you. Check tax rates, HSN/SAC codes and totals before relying on them; filing returns and paying tax are your responsibility.
- Health. Adhyog Care is record-keeping and administration software. It is not intended for use as a medical device, and it does not diagnose, treat or give medical advice. Diagnoses, prescriptions and doses are the responsibility of qualified professionals, and any reference information in the app is for convenience and must be checked. Clinics, hospitals and pharmacies are responsible for complying with the laws that apply to them, including the rules on dispensing medicines.
- Schools. Adhyog School helps schools keep records and talk to parents. The school is responsible for the accuracy of what it records and for the consents the law requires. Adhyog asks only for the last four digits of an Aadhaar number; do not upload full Aadhaar numbers.
9. Availability and changes to the service
We work to keep the service available but do not promise any particular uptime. We may carry out maintenance, which we try to schedule with notice. Where practical, we will let you know before we remove a feature that is a main part of a paid plan you are paying for. We may also stop offering the service or any of its products; where practical we will tell you in advance, and section 3 explains the refund.
10. Our intellectual property
The service — its software, design, text and templates, and the Adhyog name and logo — belongs to us or our licensors. While your account is in good standing we give you a limited, non-exclusive, non-transferable right to use it for your own business under these terms. If you send us feedback or ideas, we may use them without any obligation to you.
11. Disclaimer
To the extent the law allows, the service is provided “as is” and “as available”. We do not promise that it will be uninterrupted, error-free or secure against every threat, that it will meet every requirement you have, or that calculations, tax rates, reports or other output will be free of errors. Check the output before you rely on it.
12. Limitation of liability
To the extent the law allows:
- we are not liable for indirect or consequential loss, or for loss of profit, revenue, business, goodwill or anticipated savings, however it is caused;
- for lost or corrupted data, our responsibility is limited to making reasonable efforts to restore it from our most recent available backup (section 6); and
- our total liability for all claims connected with the service is limited to the fees you paid us for the service in the 12 months before the event that gave rise to the claim — which is zero if you use a free plan.
Nothing in these terms limits liability for fraud or wilful misconduct, or any liability that cannot be limited under Indian law.
13. Your indemnity
You will compensate us for any loss, liability, penalty or reasonable cost (including legal fees) that we incur because of a claim by someone else arising from the data you enter or the messages you send through the service, your breach of these terms or of the law, or your dealings with your customers, patients, students, staff or suppliers.
14. Suspension and termination
- You may stop using the service at any time. To close your account, see Data Deletion.
- We may suspend or close your account, or part of it, or remove or disable access to content, if you breach these terms, do not pay, put the service or other customers at risk, or if the law, a court or a government authority requires it. Where practical, we will tell you why.
- When an account closes, the right to use the service ends and data is deleted as the Privacy Policy and Data Deletion page describe. Where practical, and unless the law or a court prevents it, we will give you a chance to export your records first.
- Fees and interest already due remain payable after your account closes, and sections 5 to 8 and 10 to 18 continue to apply.
15. Events beyond our control
We are not responsible for any failure or delay caused by events beyond our reasonable control — for example power or internet outages, failures of cloud or telecom providers, natural disasters, epidemics, war, riots, strikes, or action by a government or authority.
16. Changes to these terms
We may update these terms. The Adhyog service is in beta, and while it is we will keep updating them as we add new features. Each version is posted on this page with its “Last updated” date and takes effect from that date — or from when it is posted, if that is later — so please check this page from time to time. Where we think a change is significant, we may also let you know by email or in the app. Price rises follow section 3. If you keep using the service after a change takes effect, you accept it; if you do not agree, stop using the service and close your account.
17. Governing law and disputes
These terms are governed by the laws of India. Please write to us first so that we can try to resolve any dispute in good faith within 30 days. If it is not resolved, the courts at Gautam Buddha Nagar, Uttar Pradesh have exclusive jurisdiction. To the extent the law allows, any claim connected with the service must be brought within one year of the event that gave rise to it.
18. General
- These terms, the Privacy Policy and any plan or order details you accept are the whole agreement between us about the service.
- If any part of these terms cannot be enforced, the rest still applies. If we do not enforce a right straight away, we have not given it up.
- We may transfer our rights and obligations under these terms to a company that takes over the service, if it agrees to be bound by these terms. You may not transfer yours without our written consent.
- We may name your business, and show its logo, as an Adhyog customer on our website and in our materials. If you would rather we didn’t, tell us at info@adhyog.com and we will stop.
- We send notices to the email address on your account; send yours to info@adhyog.com.
- These terms are an electronic record under the Information Technology Act, 2000 and need no physical or digital signature.
